StriveSync reserves the right to amend these General Terms of Sale at any time. The General Terms of Sale applicable are those in force on the date of the order.

General Terms of Service

Article 1 – Purpose and Scope

These General Terms of Service define the conditions under which StriveSync, a sole proprietorship registered in the Republic of Benin, performs its services: agricultural support, import-export consulting and intermediation, website creation, digital marketing, graphic design, writing and translation, training and audits, and support packs.

They supplement the General Terms of Sale, which govern prices, payment and the right of withdrawal. In the event of any conflict, the accepted quote or order prevails, followed by these General Terms of Service, then the General Terms of Sale.

Article 2 – Description of Services

The content of each service (scope, deliverables, duration, inclusions and exclusions) is described on its dedicated page on the website, in the quote, or in the datasheet of the pack or training course ordered. Only the items expressly mentioned form part of the service.

  • Custom services: scope specified in a quote accepted by the customer.
  • Support packs: fixed content described on the pack page, together with the list of items not included.
  • Training courses and audits: programme, dates, venue and price indicated on the training course page.
  • Commercial intermediation: StriveSync connects and supports the parties; it is not a party to the sales contract between buyer and seller, unless otherwise agreed in writing.

Article 3 – Formation of the Contract

The contract is formed when the customer accepts the quote, or when the online order is validated and payment is made. For online orders, the customer declares that they have read and accepted the General Terms of Sale and the refund policy before paying.

A confirmation email summarizing the order is sent to the address provided by the customer, who must therefore provide an accurate address that they check regularly.

Article 4 – Obligations of StriveSync

  • Perform the service diligently and in accordance with professional standards (best-efforts obligation, unless a result is expressly guaranteed in writing).

  • Keep confidential the information provided by the customer.

Article 5 – Obligations of the Customer

  • Warrant that they hold the rights to the content they supply (text, images, logos, data).
  • Appoint a contact person with authority to approve each stage.
  • Pay the sums due on the agreed dates.
  • Comply with the Responsible Use Charter and the regulations applicable to their activity.
Any delay by the customer in supplying materials or approvals extends the delivery times accordingly, without StriveSync being held liable.

Article 6 – Delivery, Acceptance and Corrections

Deliverables are provided electronically (email, download link, online access) or on site for training courses and audits. The customer has 7 days to submit comments; after that period, and unless written reservations are made, the deliverable is deemed accepted.

The number of revision rounds included is specified in the quote or the pack datasheet. Any request beyond the initial scope is subject to an amendment or an additional quote.

Article 7 – Changes and Cancellation

The customer may request a change to the scope; it takes effect only once StriveSync has agreed in writing to its consequences for price and timing. The cancellation and refund conditions are set out in Article 4 of the General Terms of Sale and in the Refund and Complaints Policy.

If a training session is cancelled or postponed by StriveSync, the participant may choose between transferring to a future session and a full refund of the sums paid.

Article 8 – Intellectual Property

Unless otherwise stipulated, the rights in deliverables created specifically for the customer are assigned to them after payment in full, for the use specified in the order. StriveSync retains its pre-existing tools, methods, templates and know-how, as well as the right to cite the work in its references, unless the customer objects in writing.

Article 9 – Liability

StriveSync is liable for direct damages resulting from a proven breach of its obligations. Its liability is limited to the amount actually paid for the service concerned. It cannot be held liable for indirect damages (loss of revenue, opportunity or customers), nor for commercial results that depend on external factors (market, customs, weather, third-party platforms).

Neither party is liable for a failure caused by an event of force majeure within the meaning of the applicable law.

Article 10 – Personal Data

Personal data is processed in accordance with the Privacy Policy. Where StriveSync processes data on behalf of the customer as part of a service, it acts as a processor and follows the customer's documented instructions.

Article 11 – Governing Law and Disputes

These General Terms of Service are governed by Beninese law. The parties will first seek an amicable solution (see the Refund and Complaints Policy). Failing that, the competent courts of Benin shall have sole jurisdiction, subject to mandatory rules protecting consumers.

Anti-Money Laundering and Counter-Terrorist Financing (AML/CFT) Policy

Article 1 – Commitment

StriveSync undertakes not to be used, directly or indirectly, to launder money, finance terrorism or circumvent international sanctions. This policy applies to all of our activities, in particular those involving international trade flows: import-export, intermediation, dropshipping and logistics.

It forms part of the regulatory framework in force in Benin and in the WAEMU/OHADA area on combating money laundering and the financing of terrorism (AML/CFT).

Article 2 – Risk-Based Approach

We assess the risk of each business relationship on the basis of several criteria:

  • Customer profile (individual, company, politically exposed person).
  • Country of origin and destination of the funds or goods.
  • Nature and amount of the transaction, and consistency with the declared activity.
  • Payment channel used and history of the relationship.

The level of vigilance (simplified, standard or enhanced) is adapted to the level of risk. Identity checks are described in the KYC Policy.

Article 3 – Payments and Traceability

  • Online payments are processed through an approved payment service provider: Mobile Money or bank card.
  • We refuse large cash payments, split payments intended to avoid a control threshold, and payments from an unidentified third party.
  • Refunds are made through the same channel and to the same payer as the original payment.
  • All transactions are recorded so that they can be traced.

Article 4 – Suspicious Transactions

Red flags include: refusal to provide supporting documents, inconsistent information, amounts unrelated to the activity, pressure for hasty execution, use of opaque intermediaries, and high-risk destinations.

In case of suspicion, StriveSync suspends the transaction, may refuse or terminate the relationship and, where required by law, reports the facts to Benin's national financial intelligence unit (CENTIF). The law prohibits informing the person concerned of such a report.

Article 5 – International Sanctions

StriveSync does not enter into any transaction with a person, entity or country subject to applicable sanctions or embargoes (UN, WAEMU, European Union, United States), nor for goods whose trade is prohibited or subject to an authorization that the customer cannot produce.

Article 6 – Record-Keeping and Awareness

Identification documents and transaction records are kept for 5 years after the end of the business relationship or the completion of the transaction. StriveSync staff who deal with customers are trained on these rules and on the red flags.

Article 7 – Reporting

To report a transaction or behavior that seems suspicious to you, write to contact@strivesync.fr stating "AML/CFT" in the subject line. Your report will be handled confidentially.

Article 5 – Agricultural and Environmental Commitment

In our agricultural and product trading activities, we promote sustainable practices, compliance with applicable health and food safety standards, and traceability. We expect our partners and suppliers to comply with social and environmental regulations and not to use child labor or forced labor.

Article 6 – Reporting

Any behavior or content that breaches this charter may be reported to contact@strivesync.fr. Reports are handled confidentially and without reprisals against the person who makes them in good faith.
